Fidelio Board Breakfast – “Corporate Governance is Dead, Long Live Corporate Governance”, 12 July 2016

Since the original Cadbury Code (1992), the UK model of Corporate Governance has become increasingly complex.  Indeed an edifice is now in place, articulated by the FRC (Financial Reporting Council), which goes far beyond the requirements for Board Directors set out in the 2006 UK Companies Act.

But the public perception of Corporate Governance remains at a low ebb and many Boards question whether the focus on governance leads to box ticking rather than promoting the health and financial success of the company.  Professor Bob Garratt drew on his extensive experience to address the question – have we lost sight of the original vision of Sir Adrian Cadbury to promote good governance?  Specifically Bob explored three questions:

  • Have we significantly overcomplicated Corporate Governance?
  • How do you change or regulate values and culture without substantially redesigning governance?
  • What does the future of governance look like?
